Assistance by Client to FSC Solutions

As a quality-oriented service organisation, FSC Solutions will strive to meet and, where possible, exceed your expectations in the delivery of this service. In return, FSC Solutions expects normal due diligence in ensuring that the valuable professional resources of FSC Solutions are not wasted through non-availability of essential documentation or personnel.

Intellectual Property Protection

Information in this submission or proposal as well as any materials created as part of any contract remain the intellectual and copyright property of Wildeland Pty Ltd ACN 608 255 394. The information and materials are provided on the basis that they are used only for evaluating the proposal or as part of the contracted services within your organisation’s operations and are not to be divulged to third parties without the written permission of FSC Solutions. Unless otherwise agreed, copyright of materials provided is not purchased. Materials are provided on a “sole user licence” basis.
In the interests of promoting the objectives of FSC Solutions, promotion of licensing arrangements for the use of FSC Solutions materials by third parties are available at minimum cost and should be contracted through the Managing Director of FSC Solutions. Reproduction of the contracted FSC Solutions material within your organisation is permitted and encouraged provided that the FSC Solutions logo and/or property statement is retained and provided that prior written approval of FSC Solutions is obtained.

Confidentiality

Ownership of Confidential Information shall not pass to the recipient under this agreement. FSC Solutions has the right to give notice in writing requiring the Recipient to return any record of Confidential Information. FSC Solutions undertakes to not exploit or use any Confidential Information supplied by the client other than for the purpose of FSC Solutions task associated with the project, and ensures the Confidential Information is at all times dealt with in such a manner as is appropriate and with suitable security.

Payment Terms

Planning of your service will begin, and resources allocated as soon as written acceptance is received.
Invoices for payment will be raised at identifiable periods or milestones within and/or on completion of the service. The payment schedule for your service is included in the proposal. Terms for payment are 14 days from date of invoice.
To be eligible to be provided credit terms with FSC Solutions (ie- Provision of a Purchase Order whereby the customer will be invoiced with a pre-agreed payment term), Payment via credit card may incur additional merchant fees.

When recovering overdue payments, if we require the services of a third party in the collection of any monies outstanding and overdue those costs will be added to the debt the Buyer shall be liable for all the recovery costs incurred by the Company and the interest.

Service Cancellation & Postponement

In scheduling resources to deliver the contracted services, FSC Solutions is committing those resources and cannot generally redeploy these at short notice. Where the customer cancels or defers scheduled services within 5 working days of agreed delivery, FSC Solutions will invoice 100% of the contracted value of the work. If cancellation or deferral by the customer is advised within 10 working days, we will invoice 50% of the contracted value.
Where cancellations or deferrals are advised between 10 and 20 working days of the scheduled service delivery date, FSC Solutions reserves the right to recover any unrecoverable costs and loss of profit up to 15% of the contracted service value involved. In all instances FSC Solutions will take all reasonable steps to redeploy staff and minimise the cost of cancellation to the customer.
